Terms of Service

1. Agreement to Terms

By accessing and using TRIBIZ CRM (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be:

• At least 18 years old
• Authorized to enter into a binding agreement on behalf of your organization
• Not prohibited from using the Service under applicable law
• Not previously banned from TRIBIZ for violating these terms

3. Account Registration & Security

3.1 Registration

• You provide accurate, complete account information during signup.
• You are responsible for maintaining the confidentiality of your password and email.
• You are liable for all activity under your account.

3.2 Account Responsibility

• Notify us immediately of unauthorized access: security@jjlgvending.com
• Do not share login credentials with unauthorized users.
• Do not allow multiple team members to use the same account login.

4. Subscription & Billing

4.1 Free Trial

New accounts receive a 14-day free trial with full feature access. At trial end, your account will be downgraded to the Free plan unless you select a paid plan.

4.2 Paid Plans

Fees are billed monthly or annually as specified at checkout. All prices are exclusive of applicable taxes.

4.3 Payment Methods

If payment fails, we will retry up to 3 times. If all retries fail, your account may be downgraded or suspended.

4.4 Billing Disputes

Report billing errors within 30 days of the charge.

4.5 No Refunds

All fees are non-refundable. Cancellation takes effect at the end of your current billing period.

4.6 Price Changes

We may change pricing with 30 days' notice.

4.7 Cancellation

You can cancel anytime in Account Settings.

5. Acceptable Use Policy

You agree NOT to use TRIBIZ for:

• Illegal activity
• Harassment & abuse
• Spam & unsolicited communications (including TCPA violations — do not contact consumers via phone/SMS without prior express written consent)
• Data abuse (scraping, reverse-engineering, selling data)
• Platform abuse (DDoS, malware)
• Third-party rights violations

We may suspend or terminate your account without notice for violations.

6. Data You Control

6.1 Your Responsibility

You own all data you upload. You are responsible for:

• Obtaining proper consent before storing contact information in TRIBIZ
• Ensuring data accuracy
• Complying with data protection laws (GDPR, CCPA, TCPA)

6.2 Third-Party Integrations

When you connect Gmail, WhatsApp, Instagram, or SMS, you authorize us to access and sync data from those platforms. You remain liable for violations of those platforms' ToS.

6.3 GDPR & Data Processing

If you process personal data of EU residents, you are the Data Controller and we are the Data Processor. Request our Data Processing Agreement at legal@jjlgvending.com.

7. Intellectual Property

7.1 Our IP

TRIBIZ, its features, interface, code, and content are owned by JJLG Vending LLC. You have a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

7.2 Restrictions

You may not modify, reverse-engineer, sublicense, resell, copy, or use the Service to build a competing product.

7.3 Your Data

You retain ownership of data you upload. By using the Service, you grant us a license to store, process, and display your data for service delivery and improvement.

8. Warranties & Disclaimers

8.1 AS-IS Service

TRIBIZ is provided “AS IS” without warranties of any kind. We do not warrant uninterrupted, error-free service, fitness for a particular purpose, or security or freedom from data loss.

8.2 No Guarantees

• Email syncing may have delays (typical 3–5 minutes, not real-time).
• WhatsApp/Instagram syncing depends on Meta API availability.
• We are not responsible for third-party service outages.

9. Assumption of Risk & Limitation of Liability

You assume all risk of loss, damage, or liability arising from:

• Access to or use of the Service
• Data loss, service downtime, integration failures
• Unauthorized access to your account
• Business interruption

In no event shall JJLG Vending LLC be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or anticipated savings.

10. Indemnification

You agree to indemnify, defend, and hold harmless JJLG Vending LLC from any claims, damages, or costs (including attorneys' fees) arising from your violation of these Terms, use of the Service in violation of law, or violation of third-party rights.

11. Termination

11.1 Your Termination

You can delete your account anytime in Account Settings. We retain a backup for 30 days, then delete it.

11.2 Our Termination

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment
• Illegal activity
• Threats to platform security

Termination may be immediate (for security or illegal activity) or with 15 days' notice.

12. Modifications to Service

We may:

• Add, remove, or modify features
• Change pricing (with 30 days' notice)
• Perform maintenance or upgrades
• Discontinue the Service with 30 days' notice and refund prepaid fees on a pro-rata basis

13. TCPA & Telemarketing Compliance

TRIBIZ does not provide built-in TCPA compliance tools. You are responsible for:

• Obtaining prior express written consent before contacting via phone/SMS
• Checking the National Do Not Call Registry
• Respecting “do not call” requests immediately
• Maintaining consent records
• Complying with all TCPA, FCC, and state regulations

TRIBIZ is not liable for your TCPA violations, fines (up to $500–$1,500 per call/text), or lawsuits.

14. Data Breaches & Security

14.1 Notification

If we discover unauthorized access to your data, we will notify you via email within 30 days. Notification will include the nature of the breach, data potentially affected, steps to secure your account, and contact info for questions.

14.2 No Liability

We are not liable for breaches caused by your weak password, phishing you fall victim to, or third-party platform compromises.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Texas, without regard to conflict of law principles.

15.2 Jurisdiction

You agree to the exclusive jurisdiction of the state and federal courts in Texas.

15.3 No Class Actions

You agree not to pursue class action, class arbitration, or representative action against TRIBIZ.

16. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and JJLG Vending LLC.
